Binovy Terms of Service.

These terms are a contract between you and Dutchtown Technical Institute, LLC ("DTI", "we", "us"), a Tennessee limited liability company, governing your use of Binovy at binovy.com (the "Service"). By creating an account or using the Service, you agree to them. If you don't agree, don't use the Service.

1. The alpha

Binovy is in alpha. That means, plainly:

  • The Service may break, change, or be unavailable at any time, without notice.
  • We may reset, reseed, or delete data during the alpha as part of development. We will give reasonable notice before an intentional reset, but you should not treat anything stored here as your only copy.
  • Features may appear, change, or disappear.
  • Access is by invitation, and the Service is offered to users in the United States only during the alpha.

2. Current status

During the alpha, every transaction on Binovy runs against payment-provider test systems, and no real money moves. The sections below are written for real commerce and describe the obligations that will apply when it is enabled. Until then, simulated transactions create no payment obligation and transfer no ownership, and we may cancel, rewind, or reset any simulated transaction at any time. When real transactions are enabled, we will announce the change and remove this section.

3. Your account

  • You must be 18 or older to use Binovy.
  • Provide accurate information, keep your credentials to yourself, and tell us at support@binovy.com if you think your account has been compromised. You are responsible for activity under your account.
  • One account per person. Invite codes may be limited, revoked, or expired by us at any time.
  • We may suspend or terminate accounts that violate these terms or the community guidelines, which are part of these terms.

4. Auctions and sales

  • A bid is a binding offer. Once placed, it cannot be retracted, and it stands until the auction closes or a higher bid replaces it.
  • Proxy bidding authorizes binovy to bid on your behalf, in published increments, up to the maximum you set.
  • Lots may carry a hidden reserve. If an auction closes below the reserve, the seller has 48 hours to accept the closing bid; acceptance forms a sale under these terms.
  • When you bid, a temporary hold may be placed on your saved payment method, released as described at bid time.
  • Winning creates an obligation to pay the hammer price plus the buyer's fees (section 5) and, on payment, the right to receive the piece.
  • Auction timing — durations, the closing extension, and the bid-increment ladder — is as published on the help pages, incorporated by reference and amendable with notice.
  • If a winner does not pay by the stated deadline, we may cancel the sale, offer the lot to the runner-up, and act on the account's standing.

5. Fees

Selling on Binovy carries a listing fee, and buying carries a buyer's premium; payment-processing costs are passed through where stated. The amounts owed are those in the current fee schedule published at /fees, incorporated by reference and amendable with notice. The listing fee is non-refundable once a listing is published, whether or not the piece sells.

6. Taxes

Nothing in these terms is tax advice. You are responsible for your own income-tax obligations arising from sales on the Service. Where law requires it, we collect and remit sales tax on marketplace sales as a marketplace facilitator, and we issue information returns (such as Form 1099-K) where reporting thresholds are met.

7. Your content

You keep ownership of everything you post — photos, piece records, stories, comments ("your content"). You grant DTI a non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, and process your content to operate the Service, and to use reasonable excerpts or screenshots of it to promote Binovy itself, with your collector handle credited. We will not sell your content or sublicense it to third parties, except to the service providers who help us run Binovy (hosting, storage, payments, and similar).

This license ends when you delete the content or your account — except for the public records described in section 8.

You promise that you have the right to post what you post: your photos are yours (or you have permission), and your listings describe things you actually possess and may sell.

8. Public by design

Binovy is built on a public record. Profiles you mark public, public collections and pieces, comments, and realized sale results are visible to anyone on the internet, without an account.

Sale results are a permanent record. If you delete your account, your catalog and photos are removed, but realized results and required marketplace records persist with your handle replaced by a neutral placeholder (pseudonymized). Comment threads may retain a "removed" placeholder where your comments were, so conversations keep their shape.

9. Rules

Do not use Binovy to:

  1. list counterfeits, replicas, or reproductions represented as originals;
  2. list stolen goods;
  3. post adult or sexually explicit content;
  4. harass, threaten, or demean anyone, or post hateful content;
  5. manipulate the marketplace or community (shill bidding, vote rings, spam);
  6. scrape the Service or access it with automation we haven't approved;
  7. impersonate any person or misrepresent your affiliation;
  8. circumvent fees or payment flows (when real transactions exist).

The community guidelines explain how we expect collectors to behave; they are part of these terms.

10. Moderation

Users can report content and sellers through the Service or to abuse@binovy.com. We review reports and may remove content, hide comments, suspend accounts, or terminate accounts at our discretion. Moderation actions leave a visible trace by design (for example, a comment removed by a moderator shows as removed rather than vanishing).

11. Copyright complaints

If you believe content on Binovy infringes your copyright, email abuse@binovy.com with: (1) the URL of the content, (2) a description of the work you believe is infringed, (3) your contact information, and (4) a statement that you believe in good faith the use is unauthorized. We review takedown requests promptly and remove infringing content. Repeat infringers lose their accounts.

12. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied — including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that data will not be lost (see section 1).

We guarantee process, not outcomes. We commit to running our published processes as published — the dispute lifecycle, the buyer-protection window, and the grading-tolerance review described on the policies page. We do not guarantee outcomes: not the authenticity of any piece, not that a recorded grade is beyond revision, and not any user's statements. Attestations and service records are the signed statements of their authors, presented as filed.

13. Limitation of liability

To the fullest extent permitted by law, DTI's total liability for any claims arising out of or relating to the Service is limited to the greater of $100 or the fees you paid us in the twelve months before the claim. DTI is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Some jurisdictions don't allow certain limitations; where that's the case, these limits apply to the fullest extent permitted.

14. Indemnification

You will defend and hold DTI harmless from claims arising out of your content, your use of the Service, or your violation of these terms.

15. Governing law and disputes

These terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Tennessee, and you consent to their jurisdiction.

16. Changes

We may update these terms; changes are effective when posted with an updated version and date at the top. Continued use of the Service after a change means you accept it.
